Business Update                                                                                                 10-6-2025

I am writing to update you on some important matters related to our family-owned business. Since our establishment in 1910, each generation has built a stronger business than the previous generation. Today the Faull’s Group incorporates both retail and wholesale footwear arms, the wholesale business, Harem Fashions Pty Ltd, was acquired around 2008. Over our 115-year retail heritage we have faced challenges on many levels. Our business has survived through 2 world wars, The Great Depression, The Global Financial Crisis, Covid-19, as well as various interest rate and business cycles. During that time Faull’s Shoes has remained stable and robust. Faull’s Shoes is well known for the quality of our products, our value proposition, our customer service & wonderful care of our customers by our amazing staff. We could not have done this without the support of our many suppliers, customers, our fabulous team members and other key stakeholders. We have always been governed by the values & guiding principles of hard work, respect, integrity, honesty & responsibility.

Against this backdrop, I write to inform you about legal proceedings that have today been initiated by Harem Fashions Pty Ltd in the Federal Court of Australia. The two respondents to the proceeding are, first, one of our ex-employees & family member Nicholas Faull; and, second, a Hong Kong domiciled company, Harem Fashions International Pty Limited (BRN 67548144, registered in Hong Kong S.A.R. China), of which Nicholas is the sole director and shareholder.

In the legal proceedings, Harem Fashions Pty Ltd alleges (among other things) that Nicholas Faull: (a) breached his fiduciary duties, and acted in breach of his obligations under the Corporations Act 2001(Cth), by receiving unauthorised and undisclosed commission payments; and (b) by not disclosing the undisclosed commission payments, engaged in conduct that was misleading or deceptive or likely to mislead or deceive in contravention of section 18 of the Australian Consumer Law,  

Nicholas Faull’s employment with our business was terminated in July 2024. 

We understand this news may be unexpected. Should you have any questions or wish to discuss this matter further, please don’t hesitate to contact me directly. Please note, however, that we will not be commenting on the proceeding as it unfolds.
